Role: Business Transaction Attorney

Location: Sioux Falls, SD, 57108

What You Will Be Doing

• Providing legal advice and counsel to clients on business matters, including entity formation, acquisitions, joint ventures, reorganizations, buy-sell agreements, and general business and commercial contracts.
• Assisting businesses in preventing, navigating, and resolving complex legal issues.
• Advising businesses on establishing company structure, policies, objectives, and procedures.
• Ensuring compliance with relevant laws and regulations.
• Conducting research, analyzing laws, developing arguments, collecting evidence, and providing legal representation in resolving disputes.
• Drafting, reviewing, completing, and filing legal documents related to client business operations.
• Negotiating contract terms, transactions, and settlements on behalf of the business.
• Managing multiple clients, cases, and legal activities with varying deadlines.
• Collaborating with clients and their advisors to develop strategies to meet specific goals.
• Engaging in business development activities, including professional organization involvement, and writing.
• Supervising paralegals, staff, and team members as your role progresses.

Experience You Will Need

• 5-7 years of relevant experience with a strong interest in business, general corporate, and commercial work.
• Preferred experience includes 7+ years of specific drafting and client advising, and excellent academic and professional credentials.
• Active member in good standing of the Bar or currently eligible to become licensed to practice law in South Dakota.
• Proficiency with Microsoft Office Suite.
• Bachelor’s degree.
• Juris Doctor from an accredited law school.
• Successful passing of the bar exam.
